Artificial Intelligence Services

This Schedule forms part of the GymOS Terms & Conditions (the “Agreement”) between Quoox Ltd., trading as GymOS (“Quoox”, “we”, “us”, “our”) and the Customer (“you”, “your”).

Purpose of AI Services

GymOS AI tools are designed to support professional gym operators in content creation, operational efficiency, and member engagement. They are intended to enhance, not replace, professional judgment, coaching expertise, or appropriate regulatory compliance.

1. Definitions

For the purposes of this Schedule:

“AI Services” means any artificial intelligence, machine learning, generative, analytical, automation, or decision-support functionality made available within the GymOS platform, including but not limited to services powered by third-party providers.

“Third-Party AI Providers” includes, without limitation, services provided by OpenAI, Fal.ai, Google, and any other provider integrated into GymOS from time to time.

“AI Output” means any text, image, video, audio, data, recommendation, analysis, or other content generated by the AI Services.

2. Fair Usage

2.1 The AI Services are provided on a fair and reasonable usage basis.

2.2 Usage which, in our reasonable opinion:

• is excessive
• materially exceeds typical usage patterns within the fitness industry
• places disproportionate load or cost on infrastructure
• suggests automated or programmatic exploitation

may result in:

a) additional usage charges
b) temporary restriction of AI functionality
c) suspension of access to the AI Services

2.3 We reserve the right to monitor usage volumes for the purpose of ensuring fair use and protecting system stability.

3. Permitted Use

3.1 The AI Services and all AI Output are provided solely for use within the GymOS platform.

3.2 You may not:

• use the AI Services to create content primarily for external resale or redistribution
• systematically extract, replicate, or repurpose AI Output for use outside GymOS
• use the AI Services as a substitute standalone AI tool

3.3 The AI Services are intended for professional, lawful use consistent with ordinary and acceptable practices within the fitness and gym industry.

4. Prohibited Use

4.1 The AI Services must not be used to generate, request, or distribute content that is:

• unlawful
• defamatory, harassing, discriminatory, or abusive
• sexually explicit or pornographic
• involving nudity or sexual imagery
• violent or threatening
• misleading or fraudulent
• infringing intellectual property rights
• contrary to advertising standards, health regulations, or professional fitness guidance

4.2 The AI Services may not be used for any purpose that would breach applicable UK law or the laws of any applicable jurisdiction.

4.3 Any breach of this clause may result in immediate suspension of the AI Services and/or termination of the Agreement.

5. Responsibility for AI Output

5.1 The AI Services generate automated outputs based on probabilistic models.

5.2 You acknowledge and accept that:

• AI Output may contain inaccuracies, omissions, or outdated information
• AI Output may be incomplete, misleading, or inappropriate
• AI Output may unintentionally cause offence

5.3 You are solely responsible for reviewing, editing, verifying, and approving any AI Output before use.

5.4 You must not rely on AI Output as professional, medical, legal, financial, or regulatory advice.

5.5 Quoox Ltd. accepts no liability whatsoever for any content generated by the AI Services or any reliance placed upon it.

6. No Endorsement of Views

6.1 Any opinions, recommendations, or statements expressed in AI Output do not represent the views, policies, or positions of Quoox Ltd.

6.2 Quoox Ltd. does not endorse, verify, or adopt any AI-generated content.

7. Third-Party Terms

7.1 The AI Services rely upon Third-Party AI Providers.

7.2 By using the AI Services, you agree to comply with the applicable terms, policies, and acceptable use requirements of the relevant Third-Party AI Providers, as updated from time to time.

7.3 Quoox Ltd. shall not be liable for:

• outages
• performance degradation
• changes to functionality
• withdrawal of service

arising from Third-Party AI Providers.

7.4 We reserve the right to modify, replace, or remove AI providers at any time without notice.

8. Availability and Changes

8.1 AI Services are provided on an “as available” basis.

8.2 We do not guarantee:

• uninterrupted availability
• specific output quality
• response time
• continued availability of specific AI models or features

8.3 AI features may be updated, modified, rate-limited, or withdrawn at our discretion.

9. Intellectual Property

9.1 Subject to payment of applicable fees and compliance with this Agreement, you may use AI Output within GymOS for your business operations.

9.2 You may not:

• resell AI Output as a standalone product
• use AI Output to train competing systems
• reverse engineer, extract prompts, or attempt to recreate the AI Services

10. Limitation of Liability

10.1 To the fullest extent permitted by law, Quoox Ltd. excludes all liability arising from:

• AI Output
• errors or omissions in AI-generated content
• business loss resulting from reliance on AI Output
• reputational harm arising from use of AI Output
• offence caused by AI Output

10.2 The AI Services are provided without warranties of accuracy, fitness for purpose, or non-infringement.

11. Indemnity

You agree to indemnify and hold harmless Quoox Ltd. against any claims, losses, damages, liabilities, or costs arising from:

• your use of the AI Services
• your publication or distribution of AI Output
• your breach of this Schedule

12. Acceptance

By enabling or using the AI Services within GymOS, you confirm that you have read, understood, and agree to be bound by this Schedule in addition to the main Terms & Conditions.
